1.1. The Client assigns and the Provider undertakes to render for a fee the following legal services to the Client:
- preparation of applications, complaints, claims, lawsuits, agreements, Agreements and other legal documents;
- providing oral and (or) written consultations, clarifications, and legal opinions on legal issues
- conducting a legal assessment of the documents and activities of legal entities or individual entrepreneurs;
- legal work on economic and other activities of legal entities and individual entrepreneurs;
- implementation of legal work on attracting investments to the Republic of Belarus;
- representing clients in negotiations, meetings, conferences and other meetings with third parties on behalf of the client;
- representing clients before arbitration tribunals and international arbitration courts;
- conducting pre-trial work on collection of debts from debtors who are legal entities or individual entrepreneurs, supporting execution of court orders and decisions of other legal authorities;
- making records management and storage of documents of legal entities and individual entrepreneurs, which does not exclude the obligation to submit documents to the state archives (hereinafter referred to as "services").
and the Client agrees to promptly accept and pay in full for the services, as well as to compensate the Provider the expenses that the Provider suffered during the provision of services to the Client.

1.2. The Provider provides services under a special permission (license) for the right to provide legal services, registered in the register of licenses of the Ministry of Justice of the Republic of Belarus under No. 2982. Special permission (license) No. 02240/2982 for the right to provide legal services was issued by the Ministry of Justice of the Republic of Belarus on the basis of decision dated 14.09.2021. A copy of the special permit (license) No. 02240/2982, is attached to the copy of the Agreement kept by the Client.
Legal services provided under this Agreement shall be carried out by a specialist of the Provider who has a certificate of attestation as a lawyer issued by the Ministry of Justice of the Republic of Belarus.

1.3 A specified list and type, scope, order, terms and cost of the services shall be determined by the Parties in the Assignments issued by the Client to the Provider, or via drawing up and signing additional written agreements.
1.3.1 Assignments and additional agreements are an integral part of the Agreement.

2.1 The services provided by the Provider are accepted by the Client under the Certificate.

2.2 Once the services requested by the -Client have been completed, the Provider shall send the relevant Certificate to the Client. The Certificate shall be sent to the Client's addresses specified in this Agreement: by mail; via the Internet to the electronic and other addresses of the Client; by handing in against signature to the Client's representative.

2.3 The Client shall return one signed original copy of the Certificate to the Provider not later than in 10 (ten) calendar days of the date of its receipt. The date of return is considered to be the date of actual receipt of the Certificate by the Provider. After the service has been provided, the Provider shall hand over to the Client all the documentation obtained during the fulfillment of his obligations under the Agreement

2.4 Should the Client fail to return a signed Certificate by the deadline, mentioned in clause 2.3., and/or submit a refusal to the Certificate, the services rendered shall be deemed to have been duly accepted by the Client and rendered by the Provider and the Provider shall be entitled to demand payment from the Client for the services rendered. In this case the Provider may execute the Certificate in a unilateral manner.

2.5. If the Client carries out its activities violating the requirements of the legislation of the Republic of Belarus, as well as does not assist the Provider as per the terms of this Agreement, the Provider has the right to withdraw from his obligations under this Agreement and to claim a payment of the cost of the services actually provided by the Provider to the Client.

3.1 The cost of the Provider's services shall be determined, agreed and set by the Parties in this Agreement, Assignments and the relevant Certificates on the basis of hourly rates adopted by the Provider, considering the amount of hours and work spent by the Provider's employees to render the service (depending on the type of service, its complexity, novelty and other criteria set forth in the Provider's internal documents).
3.1.1 The Provider's expenses incurred due to the provision of legal services to the Client shall increase the cost of the Provider's services.
The Parties have agreed that the Provider's expenses related to the provision of legal services to the Client shall be reimbursed by the Client as per the actual expenses incurred, that are determined in EUR according to the exchange rate of the National Bank of the Republic of Belarus on the date of payment of such expenses
3.1.2 For a specific scope of services, the Parties may agree on a fixed (firm) cost of the Provider's services.

3.2. For the purposes of determining the cost of the services under this Agreement the Parties have agreed on an hourly rate (hourly tariff) for the work of the Provider's specialists (lawyers) as follows: sum in BYN equivalent to 120,00 (One hundred and twenty) euro 00 cents per 1 (one) hour of the Services, VAT not included.
3.2.1. The cost of the Provider's Services (formed from the number of hours of time spent by the Provider's employees multiplied by the rate of a Provider's employee specified in clause 3.2. of this Agreement, or determined in accordance with the procedure established by clause 3.1.2. of this Agreement) is determined under this Agreement in Euro.
3.2.2. Any taxes levied outside the territory of the Republic of Belarus shall be paid by the Client additionally without deduction of any amount from the sum out of the cost of the Provider's services.
3.2.3. By signing of this Agreement, the Parties have agreed on an approximate amount of financial obligations of the Parties under this Agreement in the amount of 30.000 (Thirty thousand) Euro.

3.3 The Client acknowledges that the rates of the Provider can be changed at the discretion of the Provider, though with prior notification of the Client at least thirty (30) calendar days in advance.

3.4. The travel time actually spent by the Provider’s employees in the performance of the Provider’s obligations under this Agreement shall be paid by the Client based on the actual hours spent at the rate of 50 (Fifty) per cent of the hourly rate set out in clause 3.2. of this Agreement, for each hour of travel time.

3.5. If necessary and agreed with the Client, the Provider can perform obligations under this Agreement during non-working hours (before 9 a.m. and/or after 6 p.m.) and on weekends or non-working holidays. In this case the Provider's services shall be paid by the Client based on the hours spent at the rate of 200 % of the hourly tariff specified in clause 3.2. of this Agreement for each hour of such provision of services.

3.6. Payment for services under this Agreement shall be made by the Client either in advance payment or upon the fact of services rendered. The order of payment for specific services, when agreed by the Parties, shall be defined in the Assignments or additional agreements.

3.7. Payment for the Services under this Agreement shall be made by the Client in Euro or BYN. The amount payable in BYN is determined at the official euro exchange rate set by the National Bank of the Republic of Belarus on the date of payment.

3.8. Unless otherwise agreed, payment for the cost of the services rendered is made by the Client within 10 (Ten) banking days from the date of signing the relevant Certificate, or within 10 (Ten) working days from the date of its receipt in the case provided in clause. 2.4. of the Agreement.

3.9. If the Client fails to fulfill his obligations regarding the advance payment (making the advance payment) in time, the Provider has the right not to start providing services, or to suspend the services that have been started.

3.10. If the Client violates his obligations (terms) to pay for the services based on the Certificate signed by the Parties, the Provider has the right to demand advance payment for all services carried out under the Client's Assignment.

3.11. All bank commissions for the transfer of funds under this Agreement including commissions of correspondent banks shall be paid by the Client (details of charges “OUR”).

3.12. The date of fulfillment of the Client's obligation to pay the cost of services and reimbursement of the Provider's expenses is the date when the funds are credited to the Provider's account, unless otherwise agreed by the Parties.
